Terms of service.
Parties and scope
These terms govern use of the SHINDI service: the office web app, the WhatsApp service and the documentation that goes with them. The service is provided by SCOPR Ltd, a company registered in England and Wales under company number 17177153, with its registered office at 66 Paul Street, , United Kingdom.
They form an agreement between us and the business that subscribes. By creating an account or using the service, you confirm you have authority to accept these terms on that business’s behalf.
The service is sold to businesses only. It is not aimed at consumers, and the Consumer Rights Act 2015 does not apply to it.
What you are buying
SHINDI takes the messages your site workers already send on WhatsApp and turns them into timesheets, site diary entries, hours and alerts, which your office sees in the web app. Your crew carry on using WhatsApp exactly as they do now. There is nothing for them to install and nothing for them to log into.
We will provide the service with reasonable skill and care, and substantially as described in the documentation. We may change it from time to time, so long as no change materially reduces what it does during a term you have paid for.
The service depends on other people’s platforms, WhatsApp among them. We do not control those platforms and are not responsible for their availability, their terms changing, or an interruption that starts there.
Accounts and access
- You are responsible for what happens under your account, and for keeping sign-in details to yourself
- Only your own staff and contractors should have access, and only for your own business
- Tell us promptly if you think someone has got in who should not have
- We may suspend an account where we reasonably suspect a breach of these terms or a risk to the security of the service
Your workers and WhatsApp
You are responsible for bringing your workers onto the service, and for making sure each one has been told, in a language they understand, that what they send to the SHINDI number is processed by us on your behalf.
You confirm you have a lawful basis for that processing, including for any location a worker shares. Sharing a location is always the worker’s choice and must never be made a condition of being paid. You agree not to ask workers to send anything unlawful, abusive, or unrelated to the work.
Your workers’ use of WhatsApp is subject to Meta’s own terms. We do not provide or support WhatsApp itself.
Acceptable use
You agree not to, and not to let anyone else:
- Use the service unlawfully, including in breach of employment, working-time or data protection law
- Use it to watch a worker beyond what is described on the your-crew page, or to pass what it holds to another firm without telling the worker first
- Copy, modify, reverse engineer or decompile it, except where the law says you may
- Resell it, sublicense it, or open it to anyone other than your authorised users
- Introduce malicious code, or try to get at the systems underneath
- Extract data by automated means beyond the export the service already gives you
- Use it to build a competing product
Price and billing
You pay £15 a month for each person who uses the service during that month: workers, foremen, managers and office staff alike. Nobody who does not use it in a month is charged for that month.
Because the fee depends on who used the service, we bill monthly in arrears, so you only ever pay for a month once it has happened. Fees are exclusive of VAT and payable within 14 days of the invoice.
We may suspend the service where an undisputed invoice is still unpaid 14 days after written notice. Interest runs on overdue sums at 4% a year above the Bank of England base rate. We may change prices on at least 60 days’ written notice, taking effect at your next renewal.
Cancelling and termination
Cancel whenever you like, from account settings or by writing to us. There is no minimum term and no notice period to serve out; billing stops at the end of the month you cancel in.
Either of us may end the agreement immediately, in writing, if the other is in material breach and has not put it right within 30 days of being told, or becomes insolvent.
When it ends, your right to use the service stops. Your records, every timesheet, diary entry and worker profile, export with you as a spreadsheet, and you can take that export for 30 days afterwards. We then delete the data as set out on the privacy page, apart from records the law requires us to keep.
Your data
Everything put into the service by you or your workers stays yours, worker messages and the records built from them alike. You give us permission to hold, process and transmit it for the sole purpose of running and supporting the service.
Where that data is personal data, we act as processor and you as controller, on the terms of the data processing agreement, which forms part of this agreement and is available on request. You are responsible for that data being accurate and lawfully collected.
We may use usage figures that are aggregated and anonymised, from which neither you nor any individual can be identified, to run and improve the service. We do not use your data, or your workers’, to train general-purpose AI models.
Automatic records, and what they are not
The service transcribes, translates and reads messages automatically, using AI models, to build records from them. That process can get things wrong or miss things.
What it produces is there to help you. It is not payroll, legal, tax or employment advice, and it does not make decisions for you: you review and approve timesheets and hours before they are used for payroll, and you remain responsible for your obligations as an employer or engager of labour.
In particular, SHINDI does not establish anyone’s right to work. That runs through the Home Office share-code check, which is yours to make. A photographed card recorded here is a card someone said they had, nothing more, and nothing the service shows you is a substitute for the check itself.
Intellectual property
We and our licensors own the rights in the service: its software, models, workflows, documentation and branding. Nothing here transfers any of that to you. You get a limited, non-exclusive, non-transferable right to use SHINDI for as long as you subscribe, on these terms.
If you send us feedback or suggestions, we may act on them freely and owe you nothing for doing so.
Confidentiality
Each of us will keep the other’s non-public information confidential, use it only for this agreement, and share it only with the people and advisers who need it and are held to the same duty. That does not apply to information which is already public, independently worked out, or which the law or a court requires to be disclosed. It lasts five years after the agreement ends.
What we promise, and what we do not
Each of us has the authority to enter into this agreement. We warrant the service will perform materially as the documentation describes; if it does not, our job is to use reasonable endeavours to put it right, and failing that to refund the fees for the affected period.
Beyond what is written here, terms implied by statute or common law are excluded so far as the law allows. We do not promise the service will be uninterrupted or error-free, or that every record it produces will be accurate and complete, which is exactly why a person approves the hours.
Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, neither of us is liable for loss of profits, business or goodwill, for lost or corrupted data beyond our obligations under the data processing agreement, or for indirect or consequential loss.
Subject to that, our total liability in any twelve months is limited to the fees you paid us in that period. You will indemnify us against claims arising from your breach of the sections on your workers or acceptable use, or from the data you put in.
General
Changes to these terms. We may amend them on at least 30 days’ notice by email or in the service. Carrying on after that date means you accept the change. A material change does not apply to a term you have already paid for without your agreement.
Notices. In writing, by email, to the addresses on the account, or to us at legal@shindi.ai.
Assignment. You may not assign this agreement without our written consent. We may assign it to a buyer of the business.
Events outside our control. Neither of us is liable for delay or failure caused by something beyond reasonable control, including another platform or a telecoms network going down.
Entire agreement. These terms, the data processing agreement and the privacy page are the whole agreement between us and replace anything said beforehand. If one provision turns out to be unenforceable, the rest still stands. A waiver counts only if it is in writing.
Governing law. These terms, and any dispute arising out of them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
